GENERAL TERMS AND CONDITIONS OF SALE – HALIAGO PRO

These General Terms and Conditions of Sale (hereinafter the "GCS") govern the subscription to and execution of Haliago Pro services (SaaS software), as well as, where applicable, optional visibility services ("Boosts") and promotion features intended to be presented to end users of the Haliago application.

1. Identification – Definitions

1.1 Service Provider

1.2 Client

Any natural or legal person acting for professional purposes, operating an establishment (restaurant, butcher shop, bakery, etc.) and creating an account on Haliago Pro (hereinafter the "Client" or the "Professional").

1.3 Definitions

  • Platform: All Haliago Pro services (SaaS) and their interfaces, including specifically the administration of establishment listing(s), review management, and analytics.
  • Listing: Establishment page displayed in the Haliago ecosystem (mobile application and/or web surfaces).
  • Community Listing: A listing resulting from a Haliago creation or a community contribution.
  • Professional Listing: A listing claimed and administered by the Client via Haliago Pro.
  • Subscription: Recurring paid access (monthly or annual) to Haliago Pro, including extended features, particularly multi-establishment management.
  • Free Offer: Non-paid access with limited features (see Article 4).
  • Boost: Optional paid visibility service, lasting 30 days, applicable to one establishment in one city, which can be scheduled for a start date.
  • Promotion: Commercial benefit configured by the Client (discount, offer, etc.) and presented to end users in the Haliago application.

2. Object – Scope – Acceptance

2.1 Object

These GCS govern: (i) the subscription to and execution of the Haliago Pro Subscription, (ii) the execution of optional services (Boosts), (iii) the commercial rules regarding Promotions.

2.2 Scope

The GCS apply to any Client using Haliago Pro in any country where Haliago is available, subject to any mandatory provisions applicable locally.

2.3 Acceptance

The Client acknowledges having read the GCS and accepts them without reservation upon account creation and/or subscription. The GCS prevail over any conflicting document, except for special conditions written and signed by Haliago.


3. Description of Services

3.1 Haliago Pro (SaaS)

Haliago Pro notably allows the Client, depending on the subscribed offer, to:

  • claim and administer one or more Professional Listings;
  • manage and respond to reviews (within the limits of Haliago moderation);
  • edit information (hours, menu, declared certifications, photos, links, etc.);
  • consult analytics and interaction indicators;
  • create, configure, and track Promotions.

3.2 Trust indicators, scores, badges, and disputes

The Client acknowledges that the scores, badges, dispute mentions, and trust indicators displayed may result from automated processing and/or community contributions. They do not constitute an official certification or an audit.

3.3 Absence of physical inspection

Haliago does not perform physical on-site inspections of establishments. Published information, particularly regarding halal status, certifications, and declared commitments, is the responsibility of the Client (see Article 15).


4. Account – Free Offer – Multi-establishment

4.1 Account Creation

The Client creates an account and provides accurate, up-to-date, and complete information. The Client is solely responsible for the confidentiality of their credentials and the use of their account.

4.2 Free Offer

In the absence of an active Subscription, the Client has access to a free offer comprising:

  • review management;
  • management of a maximum of 1 establishment;
  • basic analytics.

4.3 Multi-establishment Management

The management of multiple establishments is possible only with an active Subscription.


5. Listing Claim – Validation – Liability

5.1 Claim Procedure

To claim a Listing, the Client provides relevant legal documents depending on the country to establish the legitimacy of the request. Haliago generally processes requests within 72 hours.

5.2 Claim Decision

The claim is granted based on the provided legal documents. Haliago may request additional documents or refuse the claim.

5.3 Liability for content and information

Upon validation of the claim, the Client is solely responsible for the information they publish or modify on their Listing (hours, menus, photos, declared certifications, tags, links, etc.), including with regard to applicable regulations (consumer law, advertising, fair information, etc.).

5.4 Return to community status

Upon expiration or termination of the Subscription, the Professional Listing reverts to community status, while remaining visible to the public, except in cases of removal/hiding decided by Haliago in accordance with the Platform's moderation and security rules.


6. Free Trial (14 days)

6.1 Duration and conditions

Haliago may offer a 14-day free trial, accessible upon entry of a credit card. Operational billing procedures are executed via Stripe (Article 8).

6.2 End of trial

At the end of the trial, in the absence of an effective paid subscription, the account switches to the free offer (Article 4.2).


7. Subscription – Duration – Renewal – Termination

7.1 Subscription Plans

The Client may subscribe to:

  • a monthly subscription, or
  • an annual subscription, which is financially more advantageous than the monthly equivalent.

The applicable prices are those displayed at the time of subscription on the Haliago Pro interface and/or the pricing page.

7.2 Renewal

Unless terminated before the due date, the Subscription renews automatically for an identical period.

7.3 Termination by the Client

Termination is possible from the client area. It takes effect at the end of the current subscription period. No pro-rata refund is due for the period already commenced.

7.4 Effects of subscription end

At the end of the Subscription:

  • the account switches to the free offer (Article 4.2);
  • Promotions are deactivated;
  • Boosts, being independent of the Subscription, follow their own regime (Article 10).

8. Financial Conditions – Payment – Billing – VAT

8.1 Payment via Stripe

Payment is operated via Stripe. The Client accepts that Stripe applies its own terms of use as a payment service provider.

8.2 Billing Frequency

The Subscription is billed according to the chosen periodicity (monthly or annual) and the Stripe schedule.

8.3 Invoices

Invoices are viewable:

  • from the Haliago Pro area, and/or
  • from the Stripe interface depending on available features.

8.4 VAT

As the Service Provider is a Sole Proprietor under the VAT exemption scheme (franchise en base de TVA, Art. 293 B of the French General Tax Code), VAT is not applicable (net prices).

8.5 Payment Incident

In the event of payment failure or non-payment, the account is automatically switched to the free offer, without penalties or recovery indemnities, and without maintenance of paid features.


9. Promotions – Client Obligations – Liability

9.1 Creation and configuration

The Client freely configures their Promotions (type, conditions, dates, overall and per-user caps, target, etc.). It is their responsibility to verify their accuracy.

9.2 Presentation and validation

The Promotion is presented to the end user via the Haliago application screen. The Client acknowledges that the on-screen presentation constitutes operational proof of the active Promotion.

9.3 Exclusive Liability of the Client

The Client remains solely responsible for:

  • the compliance of Promotions (conditions, restrictions, stocks, prices, mandatory notices);
  • honoring them at the point of sale;
  • the consequences of refusing to apply a valid Promotion.

Haliago acts exclusively as a technical intermediary for connection and shall not be held liable for the Client's commercial practices.

9.4 Usage limits

The "per user" limit is assessed per Haliago account.


10. Boosts (30 days) – Execution Conditions – Pro-rata Refund

10.1 Scope

A Boost:

  • is attached to one establishment;
  • applies to one city;
  • has a duration of 30 days;
  • can be purchased and scheduled with a start date;
  • can only be active at a rate of 1 active Boost per establishment at any given time.

10.2 Placements

The Boost applies to the following surfaces in the concerned zone:

  • list results,
  • map results,
  • home page (discovery surfaces), within the limits of relevance rules (Article 10.3).

10.3 Visibility Effect (Obligation of means)

The purpose of the Boost is to increase the visibility of the establishment when it corresponds to:

  • the concerned geographical zone (city), and
  • the search criteria and filters selected by the end user.

In this context, the objective is placement "among the first" relevant results of the zone. The Client acknowledges that no exposure can be guaranteed independently of user demand, filters, and relevance.

10.4 Pro-rata Refund

In the event of a malfunction attributable to Haliago rendering the Boost substantially inexecutable over a significant period, Haliago will apply a refund or credit on a pro-rata basis for the duration of the observed unavailability.


11. Ranking – Regulation (EU) 2019/1150 "P2B"

11.1 Main ranking parameters

The Client is informed that the ranking and visibility of establishments may depend notably on:

  • the veracity of information;
  • the freshness and updating of information;
  • the completeness of information;
  • community reviews and ratings;
  • reports and disputes;
  • geographical relevance and filters;
  • and, where applicable, the activation of a Boost on the concerned zone.

11.2 Complaint Handling System (P2B)

For any complaint related to service execution, ranking, restriction, or suspension, the Client may contact: contact@haliago.com. Haliago undertakes to process the request within a reasonable time.

11.3 Suspension – Notice

Except in emergencies (manifest fraud, security breach, legal obligation), Haliago applies a 7-day notice period before suspension linked to confirmed reports/disputes in significant numbers. In case of emergency, suspension may be immediate.


12. Moderation – Reviews – Reports – Sanctions

12.1 Reviews

Haliago does not remove a review solely because it is negative. The Client has a right of reply. The Client may report a review; if it does not comply with applicable rules, Haliago may decide to hide it, without guarantee of deletion.

12.2 Human Moderation

Moderation is performed primarily by humans, based on reports, submitted evidence, and reasonable checks.

12.3 Tag/Certification Disputes

Disputes are initiated via the mobile application. The Client has a read-only view. Haliago performs verifications according to evidence provided by the Client and/or available elements, and may display a warning based on a threshold of reports.

12.4 Sanctions

In the event of numerous reports and/or confirmed disputes in significant numbers, Haliago may pronounce: warning, restriction, suspension, then permanent ban of the account and deletion of the establishment from the Haliago ecosystem.


13. Data – Confidentiality – Sub-processors

13.1 User Data – Limited Access

In the context of Promotions, the Client may only access the pseudonym of users having used a Promotion, excluding any directly identifying data.

13.2 Prohibition of Extraction

The Client is prohibited from any extraction, scraping, or use of data from the Platform for prospecting purposes outside Haliago.

13.3 No Export

No data export (e.g., CSV) is offered to the Client.

13.4 Sub-processors

The Client acknowledges that Haliago uses technical service providers, including:

  • OVH (hosting),
  • Stripe (payment),
  • Mailjet (emailing),
  • Google Analytics (audience measurement).

13.5 Retention and Deletion

Data is retained for the duration of the account. At the Client's request, Haliago proceeds with deletion within a maximum period of 30 days, subject to legal retention obligations (particularly accounting).


14. Intellectual Property – Content

14.1 Content License to Haliago

The Client grants Haliago a non-exclusive, worldwide, and royalty-free license allowing it to host, reproduce, represent, adapt, and distribute the provided content (texts, menus, photos, logos, etc.) for the purposes of:

  • operating the Platform,
  • presenting Listings to users,
  • promoting and communicating the Haliago ecosystem, for the duration of operation of the Platform (indefinite duration).

14.2 Client Warranties

The Client guarantees holding all necessary rights to the transmitted content and shall indemnify Haliago against any third-party claims (particularly in cases of infringement of copyright, image rights, trademarks).


15. Liability – Warranties – Limitations

15.1 Obligation of Means

Haliago is bound by an obligation of means in providing the service. The Client acknowledges the hazards related to networks, terminals, third-party services, and app stores.

15.2 Accuracy of Information and Compliance

The Client guarantees the accuracy of the information they publish and the compliance of products and practices with displayed mentions. Haliago does not perform physical inspections and shall not be held liable for deception, non-compliance, or a breach of certification attributable to the Client.

15.3 Technical Limitation of Liability

Haliago shall not be held liable in the event of:

  • geolocation inaccuracy depending on terminals and third-party services;
  • interruptions for maintenance;
  • data loss not attributable to a proven fault of Haliago.

16. Changes to GCS and Service

16.1 Evolution of Features

Haliago may evolve the Platform (addition, modification, removal of features), provided that the main purpose of the service is maintained.

16.2 Modification of Rates

Haliago may modify its rates with a 30-day notice. The new rates apply from the next renewal or the indicated period, as applicable.


17. Applicable Law – Jurisdiction

These GCS are subject to French law. In the event of a dispute between merchants, exclusive jurisdiction is attributed to the Commercial Court of Versailles, notwithstanding multiple defendants or third-party claims.
